Benefits of Forming an LLC in New Jersey (NJ):

Taxes: An LLC has the flexibility to be taxed as a sole proprietor, partnership, S-corp or C-corp.

Pass-through Taxation: Typically, LLCs will choose to be taxed as a partnership to avoid double taxation, which occurs in corporations. An LLC is formed in the State of New Jersey (NJ) when the Articles of Organization are properly filed with the New Jersey (NJ) Secretary of State’s office along with the required filing fee. The following information must be included in the New Jersey (NJ) Articles of Organization:

  • -Name of the Company (your company’s name must end in either Limited Liability Company, L.L.C. or LLC)
  • -The principal address of your business
  • -The name of the Registered Agent and its New Jersey (NJ) address
  • -The name(s) and address(es) of a manager or members
  • -The purpose of the company
  • -Name of the organizer
