Yes. The Michigan Business Corporation Act requires all business entities to designate and continuously maintain both a registered office and a resident agent in Michigan in order to transact business. You cannot form a domestic entity or register a foreign (out-of-state) company without one.
There is no difference between these two terms. They refer to the same service. You may hear other terms as well: agent for service of process, statutory agent, commercial registered agent, etc. All of these terms refer to the same service.
The Michigan Business Corporation Act allows for the following to be designated as a Michigan registered agent:
- An individual resident of the state
- A domestic corporation or LLC
- A foreign corporation or LLC registered to do business in Michigan
Every Michigan resident agent must have a business office or residence that is the same as the address of their registered office (this cannot be a PO box).
Michigan state law requires that you appoint and maintain a registered agent. You cannot form a business without one. Once your business is formed, you will have to maintain an agent from year to year. If you do not, your company can be administratively dissolved by the Department of Licensing and Regulatory Affairs.
If your Michigan resident agent resigns, you have 30 days to appoint a new registered agent. If you fail to do so, your company can be administratively dissolved by LARA.

Sec. 241.
(1) Each domestic corporation and each foreign corporation authorized to transact business in this state shall have and continuously maintain in this state both of the following:
(a) A registered office, which may be the same as its place of business.
(b) A resident agent. A resident agent may be an individual resident of this state; a domestic corporation or limited liability company; or a foreign corporation or limited liability company authorized to transact business in this state.
(2) The address of the business office or residence of a resident agent must be the same as the address of the registered office.
