Yes. The Indiana Code requires that all business entities appoint an Indiana registered agent in order to form or register a company with the Secretary of State. You cannot form a domestic company or register an out-of-state company without designating a registered agent.
You appoint an Indiana registered agent when you form a domestic business or when you register a foreign (out-of-state) entity with the Secretary of State. This is done on one of the following forms:
- Indiana Corporation: Articles of Incorporation
- Indiana LLC: Articles of Organization
- Foreign Businesses: Application for Certificate of Authority
Indiana state law allows the following to act as a registered agent:
- An individual residing in Indiana whose business office is identical with the registered office
- A domestic company whose business office is identical with the registered office
- A foreign business entity authorized to transact business in Indiana whose business office is identical to the registered office
If your Indiana registered agent resigns, they must mail a statement of resignation to your business office informing you of the resignation. Indiana Code Section 23-1-24-1
Sec. 1. (a) Each corporation must continuously maintain in Indiana:
(1) a registered office; and
(2) a registered agent, who must be:
(A) an individual who resides in Indiana and whose business office is identical with the registered office;
(B) a domestic limited liability company, domestic corporation, or nonprofit domestic corporation whose business office is identical with the registered office; or
(C) a foreign limited liability company, foreign corporation, or nonprofit foreign corporation authorized to transact business in Indiana whose business office is identical with the registered office.
(b) Each corporation incorporated after June 30, 2014, shall file with the secretary of state:
(1) the registered agent’s written consent; or
(2) a representation that the registered agent has consented
