An Indiana Foreign Corporation is an Inc. originally formed in another state that registers to do business in Indiana. The process of registering a foreign Corporation in Indiana is called foreign qualification. Foreign qualification is used to register a foreign company so that it may transact business in the state of Indiana. There are a few requirements when filing an application for registration in Indiana.
Foreign Corporations can register the Foreign Corporations name in Indiana for the period of one year, a renewal will be required to continue the registration for another year.

The date of incorporation to include the day, month, year and the state of incorporation for your original Corporation is required information on the Application for Certificate of Authority of a Foreign Corporation.
Officers/Directors
You will be required to list the names and business addresses of the Officers of the Corporation. The address will include the number and street, city, state and ZIP code.
How to File a Indiana Foreign Corporation Qualification Document
Steps to Indiana Corporation Foreign Qualification:
- Before you file for foreign corporation qualification, you will want to be certain that your company name is currently available in the state of Indiana. You can do this by conducting a Business Entity Name Search with the Indiana Business Services Division online. If your name is already being used, you will need to register a fictitious name when you file.
- To register a foreign corporation, you must file an Application for Certificate of Authority with the Business Services Division. This can be filed online ($107.36 filing fee) or by mail or in person ($125 filing fee). You must include with the filing a Certificate of Existence from your home state.
- When you file the Application for Certificate of Authority, you must designate an Indiana registered agent to accept service of process on your behalf within the state. This is done on the Application.
- Online filings are usually processed same day. Most documents are processed within five to seven business days. During busier times of the year, it may take as long as twelve days to process your filing.
- After you foreign qualify in Indiana, you will be required to file a Biennial Business Entity Report. This can be filed online. The filing must be done by the last day of your anniversary month of foreign registration. There is a $30 filing fee ($22.40 if filed online).
