Name

The name of the Foreign Corporation will be listed on the Washington Corporations & Charities Division’s Foreign Registration Statement. A Corporation in Washington state must contain the word “Corporation,” “Incorporated,” “Company,” or “Limited,” or the abbreviation “Corp.,” “Inc.,” “Co.,” or “Ltd.”.

Jurisdiction

Information for the Foreign Corp in it’s place of domestication will be given on the application. Necessary information is the Foreign Corporation’s country, state, date of formation and period of duration. Duration can be perpetual or a set end date.

Registered Agent

The Registered Agent name and address is required to file the Foreign Entity Registration form. The address shall not be a PO Box. A consent to serve as a Washington Registered Agent is mandatory.

Addresses

A Principal Office address will be listed and a mailing address can be given as well. The Principal Office must be a street address and not a PO Box.

Governors

At least one Governor name for the Foreign Corporation in Washington is required.

Nature of Business

A brief description of what the Foreign Corporation will be doing in Washington has to be given. This will be the general business purpose or purposes being transacted.

Dates

The date the Corporation began doing business in Washington and the effective date will be listed on the application. A future effective date can not be more than 90 days.

Executor

Name, address, and signature of an Executor is required.

Certificate of Existence

A Certificate of Existence or Certificate of Good Standing will be needed to file the application. The document can not be older than 60 days.
