Steps to Massachusetts LLC Foreign Qualification:
The first step in foreign registration is choosing a name for your LLC to use in the Commonwealth. The name you select cannot already be registered to another entity. A business entity name search should reveal the availability of your company name.
Once you’ve settled on the name you will use, to foreign qualify an LLC you file an Application for Registration with the Secretary of the Commonwealth. Along with the Application, you must submit a Certificate of Good Standing from your home state. There is a $500 filing fee. On your Application, you are also legally required to appoint a Massachusetts registered agent.
Processing is typically one day. You cannot file an Application for Registration online.

You must list the name and business address of each manager of your LLC. You must also list the name and address of any individual authorized to execute, acknowledge, deliver and record any instrument purporting to affect an interest in real property in the state.
Does My Registered Agent Have to Consent to Appointment?
Yes. The agent must consent and sign the Application for Registration. You cannot appoint a registered agent in Massachusetts without their knowledge.
Annual Report
After your foreign qualification is complete, you must file an Annual Report each year by the anniversary date of your registration. The report can be submitted online to the Corporations Division. The fee is $500.
